Welcome to BitStacx (https://bitstacx.com). These Terms & Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "developer"), and BitStacx ("we," "our," "us," or the "Platform"), concerning your access to and use of our website, application programming interfaces (APIs), software solutions, developer utilities, and Software-as-a-Service (SaaS) applications.
By creating an account, authenticating to our API endpoints, or utilizing our cloud infrastructure, you acknowledge that you have read, understood, and agree to be bound by the entirety of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our services.
1. Account Registration, Authentication, and Security
- Account Creation: To access our API infrastructure and platform dashboards, you must complete the registration process by providing current, complete, and accurate information as prompted by the registration form.
- Credential Security: You are entirely responsible for maintaining the confidentiality of your account credentials, passwords, cryptographic keys, and API tokens. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
- Liability for Account Usage: BitStacx will not be liable for any loss that you may incur as a result of someone else using your API keys or account, either with or without your knowledge. You may be held liable for losses incurred by us or third parties due to activity originating from your authentication credentials.
2. User Data, Transmitted Content, and Intellectual Property Rights
- User Content Responsibility: Our services allow you to transmit, input, host, or upload content, text, images, product catalogs, and transactional data. You retain full ownership of any intellectual property rights you hold in that content.
- Processing License: By submitting data to our API endpoints, you grant BitStacx a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, cache, transmit, and process your content solely for the purpose of operating, securing, maintaining, and improving our developer tools and infrastructure.
- Digital Millennium Copyright Act (DMCA) & Infringements: We respect the intellectual property rights of others. If you believe that any material available on or through the Platform infringes upon any copyright you own or control, please immediately notify our designated agent by email at: support@bitstacx.com.
3. Proprietary Intellectual Property of the Platform
- Ownership of the Platform: Except for explicit user-submitted transactional data, all components of our services—including but not limited to web designs, interface layouts, system architecture, database models, source code, API specifications, documentation, logos, and trademarks—are the exclusive intellectual property of BitStacx and are protected by applicable trademark, copyright, and intellectual property laws.
- Limited License: Your subscription grants you a limited, revocable, non-exclusive, non-transferable right to access and query our live API endpoints in strict accordance with these Terms and your assigned usage tiers. No ownership or reverse-engineering rights are transferred.
4. Developer Environments, Subscription Billing, and Payments
- Sandbox Environment: We may provision a free "Sandbox" or testing environment to allow developers to build integrations, test request payloads, and evaluate mock webhooks. Usage of the sandbox environment is strictly limited to evaluation and non-production testing. We reserve the right to apply rate limits, clear historical data, or suspend access to the sandbox environment at any time without prior notice or liability.
- Production Tiers and Paid Subscriptions: Transitioning an application to a live deployment or production environment requires the activation of a paid subscription tier. Fees are billed on a recurring, periodic basis (e.g., monthly) based on the subscription tier, usage allocations, or API request volume chosen at checkout.
- Merchant of Record (Paddle): All live production payment processing, recurring billing lifecycles, global sales tax compliance, and financial transactions are handled exclusively through our third-party Merchant of Record, Paddle. By completing a transaction, you agree to comply with and be bound by Paddle's customer terms and conditions.
- No Free Trials & Immediate Billing: Unless explicitly designated otherwise in writing during the checkout process, our paid production tiers do not feature a free trial period. Billing cycles commence immediately upon account activation or tier upgrade.
5. Platform Acceptable Use and Prohibited Activities
You may not access or use our API infrastructure for any purpose other than that for which we make the platform available. Prohibited activities include, but are not limited to:
- Circumventing, disabling, or interfering with security-related features of the platform or rate-limiting mechanisms.
- Engaging in any automated use of the system, such as using scripts, web crawlers, or scrapers to harvest data inappropriately.
- Deploying our API-first infrastructure to handle, process, or facilitate transactions for illegal goods, fraudulent operations, or activities that violate our Acceptable Use Policy.
- Overloading or disrupting our server infrastructure, background workers, or connected databases.
6. User Feedback, Technical Suggestions, and Contributions
- Unsolicited Ideas: If you transmit any feedback, feature requests, code snippets, optimization ideas, or technical suggestions to us regarding BitStacx or our APIs, you acknowledge that such submissions are completely non-confidential.
- Assignment of Rights: You hereby assign to BitStacx all rights, title, and interest in your feedback. We are free to implement, modify, and commercially exploit these suggestions without any restriction, credit, accounting, or financial compensation to you.
7. Disclaimer of Warranties and Limitation of Liability
- As-Is Basis: The platform, its APIs, and all associated infrastructure are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
- Limitation of Damages: In no event will BitStacx, its developers, or affiliates be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, loss of data, database corruption, or system downtime—arising from your use of the software infrastructure, even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to defend, indemnify, and hold BitStacx harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (a) your transmitted API content; (b) your misuse of our production or sandbox infrastructure; (c) your violation of these Terms; or (d) any breach of your representations and warranties set forth in these Terms.
9. Governing Law and Jurisdiction
These Terms and your use of our software infrastructure are governed by and construed in strict accordance with the laws of Ghana, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of competent jurisdiction located in Ghana.
10. Modifications and Platform Interruptions
- Amendments to Terms: We reserve the right, in our sole discretion, to change, modify, or update these Terms at any time. The most current version of these Terms will be posted on this page with an updated timestamp. Your continued use of our APIs following the publication of changes signifies your formal acceptance of the revised Terms.
- Service Interruptions: We reserve the right to alter, modify, or discontinue any aspect of our API endpoints or platform architecture without notice. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or utilize our services during platform maintenance or infrastructure downtime.
